Basic Function

Based in the London Office and reporting to the AGC, International, the Counsel will support the in-house legal team across a broad range of commercial, corporate, and regulatory matters for the following businesses of Phillips 66 Limited:  (i) Commercial (including Renewables, Origination and Emerging Energy); (ii) Marketing and (iii) Refining. This role is ideal for a recently qualified solicitor seeking hands-on experience in a dynamic, multi-jurisdictional business environment. The position involves working closely with senior counsel and business stakeholders to ensure legal compliance and mitigate risk while enabling commercial objectives.

Primary Accountabilities/Responsibilities

Corporate, Brand and Communications

  • Assist Company Secretary with the appointment of directors, preparation of shareholder, written resolutions and powers of attorney
  • Arrange execution of legal documents Assist finance team with statutory accounts and audit letters
  • Assist with director training and board briefings by Legal Assist with legal review of Marketing brand materials and local communications

Commercial Contracts

  • Draft, review, and negotiate commercial agreements including NDAs, inter-affiliate agreements, physical and financial oil/products/renewables trading, storage and supply agreements, retail and wholesale fuel marketing agreements, including terminal and exchange agreements and heads of terms. 
  • Support marine/Commercial operations with routine matters such as reviewing letters of indemnity and assisting with charterparty clauses.
  • Support procurement team by review and negotiate changes to standard templates and review, draft and negotiate bespoke contracts as required.
  • Support real estate transactions, including lease/licence agreements and site acquisitions/disposals.
  • Advise on contractual rights, obligations, and risk mitigation strategies

Compliance and Regulatory

  • Advise on GDPR compliance including data protection agreements for international data transfers, Data Protection Impact Assessments, ad hoc data protection queries and support global data privacy team in respect of data breach response and subject access requests relating to Europe. 
  • Advise and assist global compliance with Modern Slavery Act, financial crime compliance (e.g. failure to prevent tax evasion and failure to prevent fraud, anti-bribery and money laundering), supply chain due diligence enquiries and ESG initiatives. 
  • Monitor legal developments in the above areas and advise on implications for the business. 

Litigation and M&A

  • Support Senior Counsel with handling claims and disputes. 
  • Support Senior Counsel with M&A projects (e.g. due diligence, disclosure)

Legal Operations

  • Assist Legal Specialist with external counsel engagement, including retention letters and costs tracking.

Critical Skills/Leadership Criteria

  • Hold the legal right to live and work in the UK on a permanent basis, or the role you are applying for meets the criteria for employer sponsorship.
  • UK Qualified Solicitor with some experience of advising in-house ideally within the energy sector.
  • Strong drafting and analytical skills, with attention to commercial and regulatory detail.
  • Ability to work collaboratively across legal, commercial, and technical teams.
  • Sound knowledge of commercial contracts.
  • Ethical and honest, confidential and acts in accordance with the Company values, policies & practices.
