What to Expect

As Senior Midstream Counsel, you will be the trusted legal advisor guiding complex transactions and strategic projects that shape the future of our midstream operations of a large corporate law department in a publicly traded, international energy company. This role sits at the intersection of law and business, where your expertise will help navigate regulatory landscapes, structure innovative agreements, and support critical partnerships. You’ll work closely with senior leaders and cross-functional teams to deliver practical, business-focused solutions that enable growth while managing risk.

 

What You’ll Do

  • Provide legal advice and transactional support to Phillips 66’s midstream business, with a particular focus on natural gas gathering and processing (G&P); fractionation, storage, and transportation of natural gas liquids (NGLs); and transportation, storage, and distribution of crude oil and refined products.
  • Ensure legal risks are adequately identified, evaluated and addressed in commercial contracts and ensure compliance with applicable laws and regulations.
  • Lead the negotiation and drafting of commercial agreements for midstream projects, including transportation, gathering, processing, fractionation agreements, interconnection agreements, and open seasons.
  • Manage and provide support for midstream joint ventures, including creation, commercialization, contracting, operational matters, and governance.
  • Design and refine procedures to proactively manage legal risk and support the company’s midstream operations.
  • Build trusted relationships with internal clients, acting as a business partner to deliver high-impact legal services and recommendations that drive performance.
  • Communicate complex concepts clearly to varied audiences, support quality assurance efforts, and contribute to continuous improvement across legal and business processes.
  • Help the organization navigate change, optimize work practices, and maintain compliance, while fostering collaboration and delivering results in a fast-paced environment.

What You’ll Bring – Required

  • Legally authorized to work in the job posting country
    • J.D. Degree from a law school accredited by the American Bar Association
    • 6 or more years of legal experience in Midstream transactions
    • A member in good standing of any U.S. Bar

  • Extensive knowledge and experience in the midstream industry
  • Extensive knowledge in commercial transactions
  • Superior negotiation, advocacy, and presentation skills
  • Mature judgment and discretion
  • Ability to manage and prioritize assignments which may be broad in scope and complexity, and which involve collaborative work with employees in different departments or with varying levels of seniority
  • Self-initiation on regular and complex assignments
  • Excellent written and oral communication skills including the ability to effectively communicate with internal business clients, support staff, and with external resources such as outside counsel and other collaborators
  • Ability to learn quickly and apply company policies, procedures, operations, and industry practices
  • Strong individual initiative, discipline and commitment to superior performance and continuous improvement
  • Antitrust and/or FERC experience a plus

 

 

Compensation Range:

  • $238,500 - $291,500 annual salary range
