Phillips 66 is seeking an experienced and motivated attorney to join our legal team as Counsel or Senior Counsel, supporting our midstream business. The Counsel / Senior Counsel, Midstream position reports to the Managing Counsel – Business Development and Corporate Transactions and will work with colleagues on Phillips 66’s in-house legal team. The successful candidate will provide legal advice and transactional support to Phillips 66’s midstream business, with a particular focus on natural gas gathering and processing (G&P); fractionation, storage, and transportation of natural gas liquids (NGLs); and transportation, storage, and distribution of crude oil and refined products. This position presents an exciting opportunity to play a central role in advising the business on the legal aspects of midstream strategy, transactions, regulatory issues, and day-to-day execution that will involve interfacing with other business units and corporate functions of Phillips 66.
Responsibilities May Include:
- Provide legal advice and transactional support to Phillips 66’s midstream business, with a particular focus on natural gas gathering and processing (G&P); fractionation, storage, and transportation of natural gas liquids (NGLs); and transportation, storage, and distribution of crude oil and refined products.
- Draft, negotiate, and interpret a variety of commercial contracts, including gas gathering and processing agreements, gas purchase agreements, transportation agreements, open seasons, terminalling agreements, and related midstream contracts.
- Ensure legal risks are adequately identified, evaluated, and addressed in commercial contracts and ensure compliance with applicable federal and state laws and regulations.
- Manage and provide support for midstream joint ventures, including creation, commercialization, contracting, operational matters, and governance.
- Support mergers and acquisitions (M&A), including diligence, structuring, and integration of midstream assets and businesses.
- Maintain awareness of legal trends, regulatory developments, and industry risks to proactively support business objectives.
- Coordinate and oversee outside counsel as necessary.
- Other matters as assigned.
Required Qualifications:
- Legally authorized to work in the job posting country
- J.D. degree from a law school accredited by the American Bar Association
- Active license to practice law in Texas or another U.S. state
- 4 years of legal experience
Preferred Qualifications:
- 6 or more years for Senior Counsel
- Knowledge and experience in the midstream industry
- Expertise in G&P and NGL transactions
- Extensive knowledge and experience in commercial transactions
- Practical, solution-oriented approach to legal issues with a strong business acumen
- Superior negotiation, advocacy, and presentation skills
- Mature judgment and discretion
- Ability to manage and prioritize assignments that may be broad in scope and complexity, and which involve collaborative work with employees in different departments or with varying levels of seniority
- Self-initiation on regular and complex assignments
- Excellent written and oral communication skills, with the ability to advise and influence across all levels of the organization
- Ability to represent Phillips 66 externally
- Ability to work well under pressure, meet deadlines, and function independently without extensive supervision
- Ability to learn quickly and apply company policies, procedures, operations, and industry practices
- Strong individual initiative, discipline, and commitment to superior performance and continuous improvement
