We are seeking an accomplished legal leader to serve as Managing Counsel, Business Development and Midstream, driving strategic outcomes across high-impact matters. In this pivotal role, you will provide expert legal guidance on complex transactions and strategic projects that shape the future of the operations of a large corporate law department in a publicly traded, international energy company. You will play a critical part in navigating high-impact legal challenges, developing innovative strategies, and supporting key business objectives in a fast-paced and evolving environment. The ideal candidate will have at least 12 years in business development and/or midstream experience, preferably in-house and corporate settings, with a strong background in joint ventures and mergers & acquisitions.

What You’ll Do
- Lead and manage complex joint ventures and mergers & acquisitions transactions from inception through close.
- Provide legal advice and transactional support to Phillips 66’s midstream business, with a particular focus on natural gas gathering and processing (G&P); fractionation, storage, and transportation of natural gas liquids (NGLs); and transportation, storage, and distribution of crude oil and refined products.
- Ensure legal risks are adequately identified, evaluated and addressed in commercial contracts and ensure compliance with applicable laws and regulations.
- Build trusted relationships with senior executives, providing authoritative advice to guide policy, projects, and change initiatives.
- Cultivate and sustain influential relationships grounded in trust and mutual respect with internal clients, acting as a business partner to deliver high-impact legal services and recommendations that drive performance.
- Communicate complex concepts clearly to varied audiences, support quality assurance efforts, and contribute to continuous improvement across legal and business processes.
- Lead, coach, develop, and invest in the growth of legal talent across attorney team.
What You’ll Bring – Required
- Legally authorized to work in the job posting country
- Juris Doctor (JD) from a law school accredited by the American Bar Association
- Active license in good standing to practice law in Texas or other U.S. State
- 12 or more years of legal experience as an Attorney
- 8 or more years of specialized expertise in mergers and acquisitions, midstream law, and/or business development
- 4 or more years of experience supervising legal teams or mentoring junior attorneys

- Familiarity with the oil and gas and pipeline industry, including its regulatory requirements, or prior experience in a similarly competitive and compliance-driven sector
- Ability to develop long-term legal strategies aligned with business goals
- Demonstrated success managing and resolving complex commercial matters
- Agility and growth mindset to handle advice and matters adjacent to primary practice areas
- Exceptional verbal and written communication skills; ability to convey complex legal concepts to diverse audiences
- Ability to manage and prioritize assignments effectively which may be broad in scope and complexity, and which requires collaborative work with a team of experienced lawyers, as well as employees in different departments and/or with varying degrees of seniority
- Demonstrated ability to use AI-enabled tools and technologies responsibly and effectively to improve work quality, speed, and decision-making
- Strong understanding of oil & gas or energy industry legal issues
Compensation Range
This position has a base salary range of $266,400 - $325,600.
